Section 02

SaaS Functionality & Enforced Human-in-the-Loop Principle

(1) The Provider supplies the Customer with access to the cloud-based evaluation software Aproqo. The platform enables the structured definition of competency profiles, the deterministic analysis of candidate resumes, and objective calibration between recruiting teams and hiring leads on a unified 100-point scale.

Human-in-the-Loop Safeguard (No Automated Decisions)

(2) The software operates strictly as an objective diagnostic and assistive evaluation matrix. At no point does Aproqo render autonomous, automated employment, interviewing, shortlisting, or rejection determinations. The legally binding final hiring and interview authority remains solely and without exception with authorized human recruiters and hiring managers.

(3) Aproqo provides no legal or employment advisory services. The Customer remains solely responsible for ensuring its recruitment processes adhere to applicable equal treatment and labor regulations.

Section 03

Subscription Plans, Seats & Anti-Abuse Policies

(1) Access is granted via individual, named user licenses (“Seats”) assigned by the Customer to designated team members:

  • Starter Plan:Includes up to 3 seats (1 Primary HR Owner/Editor + up to 2 Hiring Lead Calibrators) and 1 active job profile simultaneously.
  • Professional Plan:Includes up to 5 seats (up to 2 HR Owners/Editors + up to 3 Hiring Lead Calibrators) and up to 5 concurrent active job profiles simultaneously.

(2) Named User Policy: Seats are strictly assigned to designated individuals and cannot be shared across multiple staff members simultaneously. To maintain operational stability and prevent unauthorized license sharing, reassigned seats are subject to standard cooldown protection windows.

Section 04

Pricing, Monthly Billing & Cancellation

(1) Fees are determined by the active subscription plan selected by the Customer. All listed prices are denominated in Euro (€) net of applicable statutory value added tax (VAT).

Strictly Monthly Advance Billing via Stripe

(2) Subscriptions are billed exclusively on a monthly basis in advance through our PCI-DSS certified payment infrastructure partner Stripe.

(3) Cancellation Policy: Subscriptions can be cancelled at any time directly through the customer billing portal in the workspace, effective at the conclusion of the current monthly billing cycle. The right of either party to terminate for extraordinary cause remains unaffected.

Section 05

Customer Obligations & Data Processing Compliance

(1) The Customer warrants and ensures that it possesses the requisite legal authorization and valid legal basis under European data protection laws (specifically Art. 6(1) EU GDPR) for submitting and evaluating candidate resumes and applicant documents.

(2) The parties execute a formal Data Processing Agreement (DPA) pursuant to Art. 28 GDPR upon request, governing the handling of candidate data according to European data security and privacy mandates.

(3) The Customer is obligated to safeguard all workspace login credentials against unauthorized third-party access and promptly notify Aproqo of any suspected credential compromises.

Section 06

Platform Availability & Service Level Agreement (SLA)

(1) Aproqo strives to maintain an average annual platform uptime target of 99.9%.

(2) Excluded from uptime calculations are regular, pre-announced maintenance windows scheduled outside primary European business hours, as well as service disruptions caused by force majeure, internet infrastructure failures beyond the Provider’s reasonable control, or client-side technical malfunctions.

Section 07

Warranty & Limitation of Liability

(1) The Provider bears unlimited liability for damages arising from intentional misconduct, gross negligence, or injury to life, body, or health.

(2) For slightly negligent breaches of cardinal contractual obligations (duties essential to the proper performance of the contract), liability shall be strictly limited to typical, foreseeable contract damages. Any further liability for slight negligence, loss of revenue, or indirect consequential losses is excluded.

Section 08

Governing Law & European Jurisdiction

(1) These Terms and all contractual and legal relationships between the Provider and the Customer shall be governed exclusively by the laws of the Federal Republic of Germany (EU), excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(2) The exclusive place of venue and jurisdiction for all disputes arising from or in connection with this contract shall be Frankfurt am Main (Germany), provided the Customer is a commercial merchant, corporate entity, or public-law institution.
